CERUM TERMS OF SERVICE

Welcome to CERUM. These Terms of Service (the “Terms”) govern your access to and use of the CERUM website, online store, products, content, features, and related services (collectively, the “Services”).

The CERUM storefront is operated by Malet gonzalez , an individual sole proprietor (referred to in these Terms as “CERUM,” “we,” “us,” or “our”). Our store is hosted by Shopify, which provides the ecommerce platform that allows us to offer the Services to you.

By visiting, interacting with, or using the Services, including by placing an order, you agree to these Terms and our Privacy Policy. If you do not agree, do not access or use the Services.

1. ELIGIBILITY AND ACCOUNTS

By using the Services, you represent that you are at least the age of majority in your state or jurisdiction of residence, or that you have given permission for a minor dependent to use the Services under your supervision.

You agree to provide current, complete, and accurate information when using the Services or placing an order. You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account. You may not transfer, sell, assign, or license your account to another person.

2. PRODUCTS AND PRODUCT INFORMATION

We make reasonable efforts to display product descriptions, specifications, photographs, colors, and other information accurately. However, the appearance of a product may vary depending on your device, screen settings, lighting, and other factors.

We may update product descriptions, pricing, availability, or other information at any time. We may also discontinue products or limit quantities by person, household, geographic region, or jurisdiction when reasonably necessary.

3. PRODUCT USE AND SAFETY

CERUM eyewear is intended for personal, non-medical use as part of an evening light-management routine. CERUM products are not medical devices and are not intended to diagnose, treat, cure, or prevent any disease, sleep disorder, or other health condition. Individual experiences vary, and we do not guarantee any specific sleep, wellness, or health outcome.

Red-tinted lenses can substantially alter color perception, reduce visible light, and affect your ability to identify signals, hazards, or changes in your surroundings. Do not use CERUM eyewear while driving, operating machinery, navigating hazardous environments, or performing any activity that requires accurate color recognition or unimpaired vision.

Use the product only as intended. Stop using it if it causes discomfort, impaired visibility, dizziness, or any other adverse effect. Consult an appropriate healthcare professional if you have a medical concern or need advice about whether tinted eyewear is suitable for you.

4. ORDERS AND ACCEPTANCE

Submitting an order is an offer to purchase. Your order is not accepted until payment is successfully processed and we send an order confirmation or otherwise confirm acceptance. We may reject, limit, or cancel an order for legitimate reasons, including suspected fraud, payment failure, pricing or inventory errors, resale activity, shipping restrictions, or product unavailability.

If we reject or cancel an order after payment, we will issue an appropriate refund to the original payment method and notify you using the contact information supplied with the order.

Orders are intended for personal or household use and not for unauthorized commercial resale or export.

5. PRICES, PAYMENT, AND TAXES

Prices, discounts, and promotions may change without notice. The price charged is the price displayed at checkout when the order is submitted, subject to correction of genuine errors as permitted by law.

Applicable sales tax is calculated at checkout based on the order and delivery address. Shipping charges, if any, are displayed before you complete the purchase. Standard U.S. shipping may be offered free of charge as described in our Shipping Policy.

You represent that you are authorized to use the payment method submitted and that the information you provide is accurate. You authorize us and our payment providers to charge the amounts shown at checkout, including applicable taxes and any selected shipping charge.

6. SHIPPING AND DELIVERY

Orders are processed and delivered according to our Shipping Policy. Processing and transit dates are estimates unless expressly stated otherwise. Carrier delays, severe weather, holidays, address problems, and events outside our reasonable control may affect delivery.

If we cannot ship within the timeframe communicated at purchase, we will provide notice and any options required by applicable law, which may include accepting a revised date or canceling the unshipped order for a refund.

Title and risk of loss pass to you when the order is delivered to the shipping address supplied at checkout, except where applicable law provides otherwise. You are responsible for providing a complete and accurate delivery address and for contacting us promptly if a correction is needed.

7. CANCELLATIONS, RETURNS, AND REFUNDS

Orders may be canceled until fulfillment begins. Once an order has been prepared or fulfilled, it cannot be canceled and must follow the applicable return process after delivery.

Returns, the 30-night evaluation period, product-condition requirements, return shipping charges, damaged or incorrect orders, inspections, and refunds are governed by our Return & Refund Policy. Nothing in these Terms limits any non-waivable consumer right available under applicable law.

8. PROMOTIONS AND DISCOUNT CODES

Promotions and discount codes may be subject to separate eligibility requirements, dates, exclusions, and limits. Unless expressly stated otherwise, promotions cannot be combined, exchanged for cash, transferred, or applied retroactively. If promotional terms conflict with these Terms, the specific promotional terms control for that promotion.

9. ACCURACY, ERRORS, AND AVAILABILITY

The Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product information, pricing, promotions, shipping, availability, or other content. We may correct such information and, when legally permitted, modify or cancel affected orders. If a correction materially changes an accepted order, we will notify you and provide any remedy required by applicable law.

We do not promise that the Services will always be available, uninterrupted, secure, or error-free. We may suspend, modify, or discontinue all or part of the Services when reasonably necessary.

10. INTELLECTUAL PROPERTY

The Services and their content—including the CERUM name, logos, product presentation, photographs, graphics, videos, text, designs, and arrangement—are owned by or licensed to CERUM and are protected by applicable intellectual-property laws. CERUM brand elements may constitute registered or unregistered trademarks and trade dress, as applicable.

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store, scrape, or transmit our content except as permitted by law or with our prior written permission.

Shopify names, logos, products, and services are trademarks of Shopify. Other third-party names and marks belong to their respective owners.

11. OPTIONAL TOOLS AND THIRD-PARTY LINKS

We may provide access to tools, applications, content, or links operated by third parties. We do not control and are not responsible for third-party services, content, availability, security, accuracy, products, or practices.

Your use of a third-party service is at your discretion and may be governed by separate terms and privacy policies. Review those terms before completing a transaction or sharing information with a third party.

12. RELATIONSHIP WITH SHOPIFY

CERUM is hosted by Shopify, which enables us to provide the Services. However, purchases made through the CERUM store are transactions directly between you and CERUM. Shopify is not the seller of CERUM products and is not responsible for the products, fulfillment, customer service, or other aspects of the transaction between you and CERUM.

To the fullest extent permitted by law, you release Shopify and its affiliates from claims arising solely from your purchase transaction with CERUM, without limiting any rights you may have directly against CERUM or any non-waivable rights under applicable law.

13. PRIVACY

Our collection and use of personal information are described in our Privacy Policy. Because the Services are hosted by Shopify, Shopify also collects and processes certain personal information to provide and improve the platform. Shopify's applicable privacy information is available at Shopify Privacy.

By using the Services, you acknowledge that information may be processed by Shopify and other service providers in countries other than the country where you live, subject to applicable privacy law and contractual protections.

14. REVIEWS, FEEDBACK, AND SUBMISSIONS

If you submit a review, photograph, suggestion, idea, comment, or other content (“Feedback”), you grant CERUM a worldwide, perpetual, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, translate, and display that Feedback for operating, improving, and promoting the Services, to the extent permitted by law.

You represent that you own or control the necessary rights to the Feedback; that it is accurate and lawful; that you have disclosed any compensation or incentive connected with it; and that it does not violate another person's intellectual-property, privacy, publicity, or other rights.

We may, but are not required to, monitor, edit, or remove Feedback that we reasonably believe is unlawful, fraudulent, abusive, misleading, infringing, or otherwise inappropriate.

15. PROHIBITED USES

You may not use the Services to:

• Violate any applicable law, regulation, court order, or third-party right.

• Commit fraud, submit false information, impersonate another person, or interfere with another user's access.

• Upload malware or code designed to disrupt, damage, monitor, or gain unauthorized access to systems or data.

• Scrape, crawl, copy, extract, or use automated means to access the Services in violation of these Terms or technical restrictions.

• Circumvent security, authentication, rate limits, robots exclusions, or access controls.

• Harass, threaten, defame, abuse, or harm another person.

• Send spam, phishing, unauthorized advertising, or other unsolicited communications.

• Reproduce, resell, or exploit the Services or their content without permission.

We may suspend or terminate access when we reasonably believe these Terms have been violated.

16. AUTOMATED AGENTS

Automated or semi-automated software that accesses the Services must identify itself accurately, comply with applicable technical instructions and access restrictions, and must not evade CAPTCHAs, security controls, rate limits, robots exclusions, or measures intended to distinguish human from automated activity. We may restrict automated access at any time to protect the Services, customers, or third parties.

17. TERMINATION

We may suspend or terminate access to the Services for a material violation of these Terms, unlawful conduct, fraud, security threats, or other conduct that could harm CERUM, Shopify, our customers, or third parties. You remain responsible for amounts validly incurred before termination.

Provisions that by their nature should survive termination—including intellectual property, Feedback, disclaimers, limitations of liability, indemnification, governing law, and dispute-related provisions—will survive.

18. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” EXCEPT FOR EXPRESS COMMITMENTS MADE IN OUR PUBLISHED POLICIES OR REQUIRED BY LAW. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, DURABILITY, AND NON-INFRINGEMENT TO THE EXTENT THEY MAY LAWFULLY BE DISCLAIMED.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT USE OF A CERUM PRODUCT WILL PRODUCE A PARTICULAR HEALTH, SLEEP, WELLNESS, OR PERFORMANCE RESULT.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS. IN THOSE JURISDICTIONS, THESE EXCLUSIONS APPLY ONLY TO THE EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR CONSUMER RIGHT THAT CANNOT LEGALLY BE EXCLUDED.

19. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CERUM, ITS SERVICE PROVIDERS, LICENSORS, AND THEIR RESPECTIVE REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOST DATA, OR REPLACEMENT COSTS, ARISING FROM OR RELATING TO THE SERVICES OR PRODUCTS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CERUM'S AGGREGATE LIABILITY FOR A CLAIM ARISING FROM A PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT YOU PAID TO CERUM FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING LIABILITY ARISING FROM FRAUD, WILLFUL MISCONDUCT, OR OTHER NON-WAIVABLE OBLIGATIONS.

20. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless CERUM, Shopify, and their respective affiliates, personnel, agents, contractors, licensors, and service providers from third-party claims, losses, liabilities, and reasonable legal expenses arising from your material breach of these Terms, your unlawful use of the Services, or your violation of another person's rights.

We will provide reasonable notice of an indemnifiable claim and may control its defense and settlement. We will not agree to a settlement imposing a non-monetary obligation on you without your consent, which will not be unreasonably withheld.

21. SEVERABILITY; WAIVER; ENTIRE AGREEMENT

If a provision of these Terms is found unlawful, void, or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective.

Our failure to enforce a provision is not a waiver of that provision. These Terms and the policies incorporated by reference constitute the entire agreement regarding your use of the Services and supersede prior communications on that subject.

22. ASSIGNMENT

You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent. We may assign these Terms as part of a legitimate business transfer, restructuring, financing, or sale, subject to applicable law.

23. GOVERNING LAW AND VENUE

These Terms and any separate agreement through which we provide the Services are governed by the laws of the State of Florida and applicable federal law, without regard to conflict-of-law principles.

Subject to any non-waivable consumer right or law providing otherwise, disputes relating to these Terms or the Services will be brought in the state or federal courts with jurisdiction in Miami-Dade County, Florida, and the parties consent to those courts' personal jurisdiction.

24. CHANGES TO THESE TERMS

We may update these Terms by posting a revised version on this page and updating the “Last updated” date. If required by law, we will provide additional notice of material changes. Changes apply prospectively from their effective date. Your continued use of the Services after a change becomes effective constitutes acceptance of the revised Terms to the extent permitted by law.
